Overview

Clark Porter focuses his practice on mergers and acquisitions (helping companies nationwide manage transactions typically in the $5 to $100M range) and assisting technology clients with complex agreements. In recent years his practice has evolved to representing purchasers of companies (rather than just sellers), and his clients value his fast and effective approach to handling business. Most recently, Clark has worked on nearly a dozen acquisitions in the clinical trials space, including those involved in the nationwide testing of various COVID-19 vaccines.

Over the years Clark has helped clients streamline the acquisition process, helping move transactions along quickly and economically. In addition to his M&A work, Clark continues to represent companies in a variety of business transactions and corporate governance matters, including all aspects of private equity financing. 

Throughout his career, Clark has represented technology and other entrepreneurial clients, often in connection with the firm’s outside general counsel practice. He is particularly skilled in intellectual property and technology-related matters such as licensing distribution, and joint development agreements.

Clark is a long-time member of Osborn Maledon, rejoining the firm in 2006 after a six-year stint as Vice President and General Counsel of Cyclone Commerce, Inc, an enterprise software company ultimately acquired by Axway. Before joining Cyclone Commerce, Clark represented many of the largest software companies headquartered in Arizona in connection with acquisitions and licensing transitions and complex development agreements.
